Whereas, the first party (Closet-Concept): Specializes in manufacturing, supplying, and installing wooden products, including (wardrobes, doors, windows, decorations, office furniture, home furniture, and kitchens), and is registered with the Ministry of Commerce and Industry in the Kingdom of Saudi Arabia.

Whereas, the second party (the client): Wishes to benefit from the expertise and services of the first party. The intentions of both parties have met, and both are legally and contractually competent to agree to the following:

Contract Value: Both parties agree that the value of this contract is the amount stated on the invoice.

Contract Subject: Manufacturing, supplying, and installing according to the approved designs.

The preamble above is an integral part of this contract.

1. Obligations of the First Party:

1.1 The first party is committed to executing the work within the timeframe stated on the invoice, starting from the signing of the contract, payment of the advance, and approval of the designs and colors by the second party.

1.2 The first party will implement the contract as per the specifications of the approved designs, reserving the right to use suitable materials and similar colors in case the agreed specifications are unavailable during execution.

1.3 The first party is responsible for free delivery within Riyadh. For installations outside Riyadh, the cost will be borne by the client. This applies to maintenance outside warranty or reassembly, which must be paid in full seven working days prior to installation.

1.4 The first party is not responsible for any electrical installations if the product includes lighting or electrical features. The second party must provide the appropriate technician during the installation process.

2. Obligations of the Second Party:

2.1 The second party has reviewed the design details prepared and presented by the first party and understands and agrees to the type of wood, color, accessories, components, and items specified. The second party confirms that these meet their requirements and agrees to commence manufacturing based on this agreement.

2.2 The second party is obligated to pay 65% of the total amount as an advance upon signing the contract. The remaining balance must be paid at least 15 days before the agreed installation date. If payment is delayed, the first party has the right to postpone the installation date by at least 15 working days after payment.

2.3 The second party must prepare the site for installation according to the scheduled date to allow the first party to supply and install the products. If the second party fails to meet this requirement, the first party may reschedule the work to a new date as deemed suitable.

2.4 In case of any error by the first party in measuring the site, any additional quantities required will be covered under a new contract at the same product price and must be paid before the new installation date by seven working days.

2.5 The second party will pay a fine of 500 SAR in any of the following cases:

• Site is not ready on the installation date as per the installation technician’s opinion.
• Failure to answer the phone on the installation day, or delays in responding.
• Postponing the installation by the client within less than seven working days before the scheduled installation date. The second party must pay any fines to the first party before the installation date, and the first party will reschedule the installation based on available slots.

3. Warranty, Exchange, and Return Policy:

3.1 The first party guarantees its products against manufacturing defects for ten years from the contract date, excluding misuse, negligence, accidents, vandalism, exposure to liquids, heat, tampering with the product, fire, theft, or natural disasters. The first party is not responsible for any damages to the second party, whether material, health, or psychological, resulting from the aforementioned issues. The warranty does not cover mirrors, velvet, leather, lighting, or any glass products requested by the client.

3.2 If the product or service is not covered under warranty due to misuse, the second party will pay 200 SAR for the technician’s site visit, to be paid prior to the visit.

4. Installation:

4.1 The approved installation method involves securing the product to the walls and floors with metal brackets attached with screws. If the product is moved after installation, the first party is not responsible for any costs or damage resulting from relocating the product.

4.2 The second party agrees that the installation process may take several days (depending on the scope of work), with the duration determined by the first party based on the work’s requirements.

4.3 The wardrobes specified in the contract do not include wooden flooring or backing. If requested by the second party, it will be added in the approved design at an additional cost.

4.4 The first party is not responsible for any damages to walls, floors, or ceilings during installation, including electrical wiring, plumbing, ceramic tiles, carpets, parquet, paint, or other materials. The second party must inform the first party of the location of electrical, water, and air conditioning installations to prevent damage, clearing the first party from responsibility.

4.5 The first party is not responsible for construction defects in walls, corners, floors, or ceilings. The second party is obligated to pay any additional costs to complete the installation, as determined by the first party.

4.6 The first party will send technicians deemed suitable for the work according to its assessment. The installation will begin based on the agreed schedule mentioned in the invoice.

4.7 If the first party is unable to proceed with installation due to reasons beyond its control, the second party is not entitled to cancel the contract or request compensation. The first party will reschedule installation as per its available schedule.

5. General Provisions:

5.1 Both parties agree to execute the terms of this contract according to applicable laws. Invalidation of a clause does not invalidate the entire contract, and the remaining clauses will continue to be in effect.

5.2 Transport and reinstallation of the product in a different location are not covered by the warranty and will be subject to a separate charge as determined by the first party.

5.3 The second party has the right to cancel the contract and receive a full refund within 7 days of the advance payment, provided that the designs have not been approved. After 7 days, the second party must pay 50% of the contract value.

5.4 Any modification by the second party to the design details after approval (e.g., size, accessories, doors, colors) will require re-pricing and adjustment of the difference, either as an additional charge or a discount for the second party.

5.5 Refunds will be issued to the second party’s bank account based on the name listed on the sales contract, upon submission of the original sales invoice, for cancellations within 10 working days from the return invoice date.

5.6 The second party may not modify the subject or specifications of this contract or change its terms without the first party’s written consent.

5.7 If the second party does not provide written comments within 48 hours of the completion of the installation, it is considered final acceptance and acknowledgment of the completion of the work as per the contract.

5.8 This contract supersedes all previous verbal or written agreements between the parties.

5.9 All terms of this contract are subject to the laws and regulations of the Kingdom of Saudi Arabia. In case of any disputes, arbitration will be pursued first, followed by the appropriate legal authorities. The second party agrees to preserve the first party’s reputation and not disparage it, including on social media. Violations may be referred according to Royal Decree No. M/17, dated 1428/3/8 H.
